Terms of Service

Effective date: October 29, 2026

1. Introduction

1.1 Agreement

Please read these Terms of Service (“Terms”) carefully. They are a legally binding contract between you and commoonal LLC (“commoonal”, “we” or “us”), a Massachusetts limited liability company. They apply to your use of our commoonal mobile app (together with any successor apps, the “App”) and our website at https://www.commoonal.com (together with any successor sites, the “Site”). In these Terms, the App and the Site together are our “Services”. “Content” means any information, text, links, graphics, photos, videos or other material uploaded, downloaded or appearing on our Services. Registered users of our Services are “Users” and unregistered users are “Visitors”. These Terms apply to both. Your use of our Services is also subject to our Privacy Policy, which explains how we collect, use, share and store your personal information.

By tapping “Continue with Apple”, “Continue with Google”, “Sign Up” or a similar button, or by registering for, accessing or using our Services, you agree to these Terms. If you do not agree, do not sign up and do not use our Services. You may end this contract at any time by deleting your account and no longer using our Services.

These Terms include any additional terms that we post on our Services or otherwise make available to you for a particular feature.

Our Services include a platform where Users may post and browse free offers of goods, including second-hand goods (“Goods”), and free offers of help, such as running errands, picking up groceries or walking a dog (“Help”). When we use the term “Service” or “Services”, it refers strictly to our App and Site, not to any Help that Users offer each other. Help is arranged directly between Users: commoonal does not provide, supervise, screen or guarantee any Help, and Users who offer Help are not our employees, contractors or agents. Some kinds of Goods and Help are not allowed; see the list of prohibited items and services in Section 8.

ALL GOODS AND HELP LISTED ON OUR SERVICES ARE OFFERED FOR FREE, WITHOUT ANY PAYMENT, TIP OR OTHER COMPENSATION OF ANY SORT; AND OUR SERVICES ARE FREE TO USE, WITHOUT ANY REGISTRATION OR MEMBERSHIP FEES, AND WITHOUT ADS.

commoonal is not a charity. Goods and Help given through our Services go directly from one person to another, and they are not tax-deductible donations. We do not issue donation receipts.

Our Services are intended for use in the United States only.

ARBITRATION NOTICE: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SECTION 6, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. YOU CAN OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 6.4.

1.2 Changes to these Terms

We may change these Terms and our Privacy Policy from time to time. If we make material changes, we will notify you through our Services or by email before the changes take effect, so that you have the chance to review them. Changes are not retroactive: they will not apply to any dispute between you and us that arose before the date we posted the revised Terms or otherwise notified you. If you do not agree to the changes, you may delete your account. If you keep using our Services after the changes take effect, you are agreeing to the updated Terms.

We may, at any time and without liability, modify or discontinue all or part of our Services.

1.3 Privacy Policy

To provide our Services, we must collect and use your personal information. Our Privacy Policy describes how we handle the information you provide to us when you use our Services. We store and process this information in the United States.

2. Obligations

2.1 Eligibility

We want our Services to be open and inclusive, but also safe, secure and lawful. To use our Services:

  • You must be at least 18 years old.

  • You must live in the United States.

  • You must not be a convicted sex offender.

  • You must not be located in a country that is subject to a US government embargo, or be on any US government list of prohibited or restricted parties.

  • We must not have previously disabled your account for violating the law or any of our policies.

You also agree that:

  • You will not share your password, give access to your account to others, or transfer your account to anyone else without our permission.

  • You will not violate, or help or encourage others to violate, these Terms or our policies.

  • You will not impersonate others or provide inaccurate information. Creating an account with false information is a violation of these Terms, including accounts registered on behalf of others or for anyone under the age of 18.

  • You will not do anything unlawful, misleading or fraudulent, or for an illegal or unauthorized purpose.

  • You will not do anything to interfere with or impair the intended operation of our Services.

  • You will not create accounts or access or collect information in unauthorized ways, including in an automated way without our express permission.

  • You will not buy, sell or transfer any aspect of your account (including your username), or solicit, collect or use the login credentials of other Users.

  • You will not post private or confidential information or do anything that violates someone else’s rights, including intellectual property rights.

  • You will not use a domain name or URL in any part of your profile without our prior written consent.

2.2 Your Account

You need an account to use most of our Services. You can sign up with your email address, with Sign in with Apple, or with your Google account. If you sign up with Apple or Google, you authorize us to receive, use and keep, in accordance with our Privacy Policy, the information that Apple or Google shares with us for your registration.

You are responsible for safeguarding your account, so use a strong password and use it only for this account. You are responsible for anything that happens through your account unless you delete it or report misuse to us. You must promptly tell us about any unauthorized use of your account. We may reject, or require you to change, any username or other information you provide when registering.

You can control most communications from our Services. We may still need to send you certain communications, such as service announcements, security notices and administrative messages. These are part of our Services and your account, and you may not be able to opt out of them.

You agree that we may send notices and messages to you within our Services or to the email address you gave us. Please keep your contact information up to date.

You can delete your account at any time from the App’s settings or by emailing us at contact@commoonal.com.

2.3 User Content

You are responsible for your use of our Services and for any Content you provide, including complying with applicable laws, rules and regulations. Only provide Content that you are comfortable sharing with others.

Any use of or reliance on any Content, Goods or Help posted via our Services or obtained by you through our Services is at your own risk. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy or reliability of any Content or communications posted via our Services, or endorse any opinions expressed via our Services. All User Content is provided by Users, not by us. We do not sell or otherwise make available any Goods, we do not buy or otherwise acquire any Goods, and we do not facilitate the sale, purchase or transfer of any Goods. We do not provide, arrange, supervise, screen or guarantee any Help, and we are not present when Goods are handed over or Help is given. We are not responsible or liable for any such Content, Goods or Help, for any transactions or transfers involving Goods, including the shipping or delivery of any Goods, for any injury, loss or property damage arising from Goods or Help, or for any dispute between Users relating to any such Goods or Help. Please use caution and common sense when transferring, donating or receiving any Goods, and when offering or accepting any Help.

By using our Services, you may be exposed to Content that is offensive, harmful, inaccurate, incomplete, misleading, illegal or otherwise inappropriate, or to postings that are mislabeled or deceptive. All Content is the sole responsibility of the person who created it. We cannot always prevent this kind of misuse of our Services, and you agree that we are not responsible for it. If you choose to make any of your personal information publicly available through our Services, you do so at your own risk.

We may remove Content that violates these Terms (for example, copyright or trademark violations, impersonation, unlawful conduct or harassment); that is unlawful, misleading, discriminatory or fraudulent; that infringes or violates someone else’s rights; or where we are permitted or required to do so by law.

We may refuse to provide or stop providing all or part of our Services to you (including terminating or disabling your account) immediately to protect our Users or Services, if you create risk or legal exposure for us, if you violate these Terms or our policies, if you repeatedly infringe other people’s intellectual property rights, or where we are permitted or required to do so by law. You agree to follow our Community Guidelines in Section 8, as we update them from time to time. They include our list of prohibited items and services and our rules of conduct.

2.4 Meeting Other Users and Giving Help

Handing over Goods, meeting other Users and giving or receiving Help all happen offline, directly between Users. commoonal does not run background checks on Users, does not verify their identity, and does not supervise any meeting, handover or Help. You are solely responsible for your interactions with other Users and for deciding whether to meet, share your address or let someone into your home. You take part at your own risk.

To the maximum extent permitted by law, commoonal is not liable for any injury, illness, death, loss, theft or property damage that happens in connection with any meeting, handover of Goods or Help arranged through our Services.

2.5 Children’s Products and Photos of Children

Many Goods shared on commoonal are toys and other children’s products. Before you list or give away any product, check that it has not been recalled. You can search recalls at https://www.cpsc.gov/Recalls. Federal law prohibits selling or distributing recalled products, and you may not list them on our Services.

To protect children’s privacy, do not post photos of children, or any details that could identify a child, in your listings, profile or messages.

3. Licenses and Permissions

3.1 Your License to Us

You own the Content you create and share on our Services, and nothing in these Terms takes away your rights to it. To provide our Services, though, we need some legal permissions from you to use that Content.

By submitting, posting or displaying Content on or through our Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense to the service providers who help us run our Services) to host, use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute that Content for the purposes of operating, providing, promoting and improving our Services. For example, we may resize your photos so they display well on different devices, and we may show your listings to other Users.

This license ends when you delete your Content or your account, except that (a) Content you delete may remain for a limited time in our backup copies (though it will not be visible to other Users), and (b) it continues for Content that other Users copied or re-shared before you deleted it.

You represent and warrant that you have all the rights, licenses, consents and permissions needed to grant this license for any Content that you submit, post or display on or through our Services, and that your Content does not contain material protected by copyright or other proprietary rights unless you have permission or are otherwise legally entitled to post it.

If you send us suggestions, ideas, proposals or other feedback about our Services, we may use and share that feedback for any purpose without compensation or obligation to you, and we are under no obligation to keep it confidential.

3.2 Our License to You

Our App is licensed, not sold, to our Users. Subject to your compliance with these Terms, and only for as long as we permit you to use the App, we give you a personal, limited, revocable, non-sublicensable, non-assignable, non-transferable and non-exclusive license to install and use the App on a mobile device that you own or control, solely for your personal, non-commercial use. If you fail to comply with these Terms, you must immediately stop using the App and uninstall it from your mobile device, and you may not use the App again until we give you explicit permission.

If you do not accept the device permissions that the App needs from time to time (such as location or photo access), you may not be able to use the App or some of its features. You are responsible for obtaining, maintaining and paying for all hardware, telecommunications and other services needed to use our Services.

Our Services are protected by copyright, trademark and other laws of the United States and other countries. Our trade names, trademarks and service marks include commoonal and its associated logos. All other trade names, trademarks, service marks and logos on our Services belong to their respective owners. Nothing in these Terms gives you a right to use the commoonal name, trademarks, logos, domain names or other brand features. All rights, title and interest in and to our Services (excluding Content provided by Users) are and will remain the exclusive property of commoonal and its licensors. You may not use our trade names, trademarks, service marks or logos in connection with any product or service that is not ours, or in any way that is likely to cause confusion. Using our Services does not give you any ownership of our Services or of the Content or information made available through them.

3.3 Permissions

If you choose a profile name or similar identifier for your account, we may change it if we believe it is appropriate or necessary (for example, if it infringes someone’s intellectual property or impersonates another User).

When you download or use our App, you give us permission to download and install updates and new features to improve and further develop it.

You agree not to misuse our Services, for example by interfering with them or accessing them using a method other than the interface and instructions that we provide. While accessing or using our Services, you may not:

  • access, tamper with or use non-public areas of our Services, our computer systems or the technical delivery systems of our providers;

  • probe, scan or test the vulnerability of any system or network, or breach or circumvent any security or authentication measures;

  • access or search, or attempt to access or search, our Services by any means (automated or otherwise) other than our currently available, published interfaces, unless we have specifically allowed you to do so in a separate agreement;

  • forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use our Services to send altered, deceptive or false source-identifying information;

  • interfere with or disrupt, or attempt to interfere with or disrupt, the access of any user, host or network, including by sending a virus, overloading, flooding, spamming or mail-bombing our Services, or by scripting the creation of Content in a way that interferes with or places an undue burden on our Services.

We reserve the right to access, read, preserve and disclose any information as we reasonably believe is necessary to:

  • satisfy any applicable law, regulation, legal process or governmental request;

  • enforce these Terms, including investigating potential violations;

  • detect, prevent or otherwise address fraud, security or technical issues;

  • respond to User support requests;

  • protect the rights, property or safety of commoonal, our Users and the public.

We may limit your use of our Services, including your ability to contact other Users, and we may restrict, suspend or terminate your account if we believe you may be violating these Terms or the law or misusing our Services. We may set limits on use and storage at our sole discretion at any time. We may remove or refuse to distribute any Content on our Services, suspend or terminate Users, and reclaim usernames without liability to you.

4. Disclaimers, Limitation of Liability and Indemnity

4.1 Disclaimers

ALL DISCLAIMERS IN THESE TERMS ARE MADE FOR THE BENEFIT OF BOTH COMMOONAL AND ITS AFFILIATES AND THEIR RESPECTIVE MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS, SUPPLIERS AND SERVICE PROVIDERS (COLLECTIVELY, THE “COMMOONAL ENTITIES”), AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS.

YOU UNDERSTAND AND AGREE THAT OUR SERVICES ARE PROVIDED TO YOU “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMMOONAL ENTITIES DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO OUR SERVICES, ANY GOODS OR HELP, AND ANY THIRD-PARTY SERVICES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SAFETY AND NON-INFRINGEMENT.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE COMMOONAL ENTITIES OR THROUGH OUR SERVICES, WILL CREATE ANY WARRANTY OR REPRESENTATION NOT EXPRESSLY MADE IN THESE TERMS.

4.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMMOONAL ENTITIES MAKE NO WARRANTY OR REPRESENTATION AND DISCLAIM ALL RESPONSIBILITY AND LIABILITY FOR:

  • THE COMPLETENESS, ACCURACY, AVAILABILITY, TIMELINESS, SECURITY OR RELIABILITY OF OUR SERVICES OR ANY CONTENT;

  • ANY HARM TO YOUR DEVICE OR COMPUTER SYSTEM, LOSS OF DATA OR OTHER HARM THAT RESULTS FROM YOUR ACCESS TO OR USE OF OUR SERVICES OR ANY CONTENT;

  • THE DELETION OF, OR THE FAILURE TO STORE OR TRANSMIT, ANY CONTENT AND OTHER COMMUNICATIONS MAINTAINED BY OUR SERVICES;

  • WHETHER OUR SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE OR ERROR-FREE BASIS;

  • ANY GOODS OR HELP, AND OTHER USERS’ ACTIONS OR CONDUCT (WHETHER ONLINE OR OFFLINE) OR ANY CONTENT THEY SHARE (INCLUDING OFFENSIVE, INAPPROPRIATE, OBSCENE, UNLAWFUL AND OTHER OBJECTIONABLE CONTENT);

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (1) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, OUR SERVICES; (2) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES, INCLUDING ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (3) ANY CONTENT, GOODS OR HELP OBTAINED THROUGH OUR SERVICES; OR (4) UNAUTHORIZED ACCESS TO, USE OF OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL THE TOTAL LIABILITY OF THE COMMOONAL ENTITIES FOR ALL CLAIMS EXCEED USD $100.

THESE LIMITATIONS APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT THE COMMOONAL ENTITIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, EVEN IF A REMEDY SET OUT IN THESE TERMS HAS FAILED OF ITS ESSENTIAL PURPOSE.

SOME LAWS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

4.3 Indemnity

You agree to defend (at our request), indemnify and hold harmless the commoonal Entities from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your Content, any Goods or Help you offer, give or receive, your violation of these Terms, or your use of our Services. You will cooperate with us as required in the defense of any such claim. We may take over the exclusive defense and control of any matter that you must indemnify us for, and you will not settle any such claim without our prior written consent.

5. Termination

These Terms remain in effect until terminated. You may terminate them at any time by deleting your account. We may suspend or terminate your account or stop providing you with all or part of our Services at any time, including if we believe you have violated these Terms, if you create risk or legal exposure for us, or when we are permitted or required to do so by law. When your account is terminated or suspended, your right to use our Services ends immediately, and we may, without liability to you or anyone else, block your devices from accessing our Services and deactivate or delete your account and all associated material. We will make reasonable efforts to notify you by the email address associated with your account or the next time you try to access your account, depending on the circumstances.

The following survive termination: our rights to use and disclose your feedback; other Users’ rights to keep Content you shared that they copied or re-shared before termination; and Sections 2.4, 4, 6, 7 and 10 of these Terms.

6. Governing Law and Dispute Resolution

6.1 Governing Law

These Terms, and any dispute between you and us, are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law rules, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 6.

6.2 Informal Resolution First

Most concerns can be resolved quickly. Before starting an arbitration or court case, you and we each agree to first send the other a written notice describing the dispute and the relief requested, and to try in good faith to resolve it informally for at least 30 days. Send your notice to contact@commoonal.com; we will send ours to the email address on your account.

6.3 Arbitration

If a dispute is not resolved within 30 days, it will be resolved by final and binding individual arbitration, instead of in court before a judge or jury, except that either of us may (a) bring an individual claim in small claims court if it qualifies, and (b) ask a court to stop infringement or misuse of intellectual property.

The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules in effect at the time, available at https://www.adr.org. Fees will be paid as set out in those rules, under which the business pays most of the costs. The arbitration will be conducted by phone, by video or on written submissions, unless the arbitrator decides that an in-person hearing is needed, in which case it will take place in the county where you live or another place we both agree on. The arbitrator may award the same individual relief that a court could award. The arbitrator decides all questions about whether a dispute must be arbitrated, except as provided in Section 6.5.

6.4 Your Right to Opt Out

You may opt out of this agreement to arbitrate by emailing contact@commoonal.com within 30 days after you first accept these Terms, with the subject line “Arbitration Opt-Out” and the name and email address on your account. If you opt out, Sections 6.3 and 6.5 do not apply to you, and the rest of these Terms still does.

6.5 Class Action Waiver

YOU AND WE AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE ACTION OR ARBITRATION. Only a court, and not an arbitrator, may decide disputes about the enforceability, revocability or validity of this class action waiver. If a court finds this waiver unenforceable for a particular claim or request for relief, that claim or request (and only that one) will be severed and decided in court, after any individual arbitration has finished.

6.6 Courts

Any dispute that is not arbitrated, including if you opt out, will be resolved exclusively in the United States District Court for the District of Massachusetts or a state court located in Middlesex County, Massachusetts, and you and we agree to the personal jurisdiction of those courts. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY SUCH CASE, TO THE EXTENT PERMITTED BY LAW.

7. General Terms

We may change or discontinue any of our Services. We do not promise to store or keep showing any information or Content that you have posted. commoonal is not a storage service. You agree that we have no obligation to store, maintain or provide you with a copy of any Content or information that you or others provide, except as required by applicable law and as described in our Privacy Policy.

These Terms do not create any partnership, joint venture, employer-employee, agency or franchise relationship between you and commoonal. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the rest of these Terms will remain in full force and effect.

To the extent allowed by law, the English version of these Terms is binding, and any translations are for convenience only. These Terms (including any additional terms we provide for a particular feature) are the entire agreement between you and us about our Services and replace all prior agreements about them.

If we do not enforce a breach of these Terms, that does not mean we have waived our right to enforce them. You may not transfer any of your rights or obligations under these Terms to anyone else without our consent. These Terms do not give any third-party beneficiary rights, except as set out in Section 11. We may assign our rights and obligations under these Terms in connection with a merger, acquisition or sale of assets, or by operation of law or otherwise. We reserve all rights not expressly granted to you.

8. Community Guidelines

You agree that you will NOT:

11. App Store and Google Play Terms

The following applies to any version of the App that you download from Apple’s App Store, in addition to the rest of these Terms and despite anything to the contrary in them. These Terms are between you and commoonal only, not Apple Inc. (“Apple”). Apple does not own and is not responsible for the App or its content. Your license to use the App is limited to a non-transferable license to use it on any Apple-branded product that you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions.

Apple has no obligation to provide any maintenance or support services for the App. If the App fails to conform to any applicable warranty, you may notify Apple and Apple may refund any purchase price you paid for the App (the App is free). To the maximum extent permitted by law, Apple has no other warranty obligation for the App. commoonal, not Apple, is responsible for any other claims, losses, liabilities, damages, costs or expenses caused by any failure to conform to a warranty, to the extent the warranty is not disclaimed in these Terms.
